0. Version Notice

Effective Date: July 25, 2025.

Your continued access to or use of themiriad.com (the "Site") or any related services after the Effective Date constitutes acceptance of these Terms.

1. Overview

This Site is operated by The Miriad LLC ("The Miriad," "we," "us," "our"). Throughout the Terms, "you" and "your" refer to the Site visitor, customer, account holder, or other user.

We provide the Site, our online store, related content, and any tools, software, mobile experiences, customer support, and communications (collectively, the "Services") subject to your acceptance of these Terms of Service (the "Terms"). By visiting the Site and/or purchasing something from us, you agree to be bound by the Terms and by any additional policies referenced or linked within them (for example, our Privacy Policy, Return Policy, and Shipping Policy). If you do not agree, do not access or use the Services.

Our ecommerce storefront is hosted on Shopify Inc. Shopify provides the underlying online commerce platform that enables us to offer products and Services to you. Additional Shopify terms may apply where indicated.

2. Agreement to Terms

By accessing any part of the Services, creating an account, placing an order, or otherwise interacting with the Site, you accept and agree to these Terms. If these Terms are considered an offer, acceptance is expressly limited to them. Where required by law, we will request your express agreement (for example, via a checkbox) prior to checkout.

If you access the Services on behalf of a company or other entity, you represent that you have authority to bind that entity and "you" will refer to that entity.

3. Eligibility & Age Requirements

You must be (a) the age of majority where you reside, or (b) using the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Services, you represent and warrant that you meet these requirements. We may refuse, close, or limit accounts that we reasonably believe are ineligible.

4. Use of the Services; Acceptable Conduct

You agree not to use the Services for any unlawful or unauthorized purpose, and you agree to comply with all applicable laws, rules, and regulations (including export controls, privacy, consumer protection, and intellectual property laws) in connection with your use.

You must not transmit worms, viruses, malicious code, or any destructive scripts. Interference with or attempts to probe, scan, or test the vulnerability of our systems are prohibited. Any breach of these Terms may result in immediate suspension or termination of access.

5. General Conditions & Service Availability

We reserve the right to refuse access to the Services to anyone, for any lawful reason, at any time. Your non–payment information (e.g., content uploads) may travel through unencrypted networks and be subject to technical adaptation to meet network/device requirements. Payment card data is encrypted in transit by our payment processors.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit the Services, or any portion thereof, without our prior written permission. Section headings are for convenience only and do not affect interpretation.

6. Account Registration & Accuracy of Information

You may be required to create an account to purchase or access certain features. You agree to provide current, complete, and accurate information for all orders and account registrations, and to promptly update such information (including email, billing details, and payment card expiration dates) so we can process transactions and contact you as needed.

We reserve the right to cancel, refuse, or limit orders at our discretion, including orders that we suspect are placed by resellers, distributors, automated bots, or for fraudulent purposes. If we change or cancel an order, we may attempt to notify you via the contact details provided at checkout.

7. Product Information; Availability; Color & Material Variance

Some products may be available exclusively online and in limited quantities. We make reasonable efforts to display product colors, fabrics, and details accurately; however, display settings and device variations mean we cannot guarantee that the color you see matches the product exactly. Natural and artisanal textiles may exhibit variation; such variation is not a defect.

We reserve the right (but are not obligated) to limit sales to specific persons, addresses, regions, or jurisdictions. We may limit quantities, discontinue items, or change product descriptions and pricing at any time, without notice. Any offer made on the Site is void where prohibited by law.

8. Modifications to Services & Pricing

Prices are subject to change without notice. We may modify, suspend, or discontinue any part of the Services (including product lines, site features, or support channels) at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance.

9. Shipping; Risk of Loss; Delivery Issues

Shipping methods, estimated timelines, and carriers are described in our Shipping Policy. Title and risk of loss for physical goods transfer to you upon our delivery of the goods to the carrier (FOB Origin). Tracking details (where available) will be provided after dispatch.

Customs delays, import inspections, or carrier disruptions are outside our control. If a shipment is lost or damaged in transit, please contact us at info@themiriad.com within 7 days of the carrier delivery scan or expected delivery date.

10. Orders, Pricing, Taxes & Duties

10.1 Order Acceptance. Your placement of an order is an offer to purchase. We may accept by confirming the order (email confirmation) or by shipping the product, whichever occurs first, unless otherwise required by law. We may reject or cancel orders for any lawful reason.

10.2 Currency. We display prices in multiple currencies. The currency shown (and selected) at checkout is the currency in which your order will be processed, unless otherwise indicated. Supported currencies currently include USD, EUR, and other regional options as shown on the Site. If your payment method is denominated in a different currency, your bank or payment provider may apply its own conversion rate and fees.

10.3 Taxes. Applicable sales, use, value‑added, or similar taxes will be calculated and collected at checkout where required by law. You are responsible for any taxes not collected.

10.4 Import Duties & Brokerage. International orders may be subject to import duties, VAT, customs fees, and brokerage charges imposed by the destination country. Unless we explicitly state Delivered Duty Paid (DDP) at checkout, these charges are your responsibility and are not included in product or shipping prices. Refused shipments may incur return shipping and clearance costs that will be deducted from any refund due.

10.5 Pricing Errors. If a product is listed at an incorrect price due to typographical error, system error, or supplier issue, we reserve the right to cancel orders placed for the incorrectly priced item (even if confirmed) and to refund any amount paid.

11. Returns, Exchanges & Refunds

Our Return Policy (incorporated by reference) sets the conditions for returning or exchanging products, including any applicable restocking fees and any categories we designate as non‑returnable. At this time, The Miriad does not designate standard product categories as Final Sale. If in the future a product or category is marked "Final Sale," it will not be eligible for return, exchange, or store credit (except for damaged/defective items or where required by law). Except where required by law, we do not issue refunds to the original form of payment; approved returns receive store credit only. Buyer is responsible for return shipping costs unless we shipped the wrong or defective item.

  • Return request window: 14 days from carrier delivery scan.

  • Return shipping: Customer pays (except defective/incorrect shipments).

  • Refund method: Store credit only (no cash/card refunds unless required by law).

  • Exchanges: Apply store credit toward a new order; direct item-for-item exchanges subject to stock.

  • Final Sale items: None at this time. If a product is marked Final Sale at purchase, it is not eligible for return or credit (except damaged/defective or where law requires).

When law grants you additional mandatory rights (e.g., EU/UK cooling‑off rights for distance sales), those rights will apply in addition to (or in place of) our policy where required.

12. Optional & Third‑Party Tools

We may provide access to tools or integrations operated by third parties (for example, sizing widgets, financing, augmented try‑on, or marketplace plugins). These tools are provided on an "as is" and "as available" basis without warranties, and we do not control, monitor, or endorse them. Your use is at your own risk and may be subject to the third party’s own terms and privacy policy. Review those terms before use.

We may introduce new features or services in the future; unless stated otherwise, they will be governed by these Terms.

13. Third‑Party Links & Content

The Services may link to sites, apps, or content maintained by third parties not affiliated with The Miriad. We are not responsible for examining or evaluating such third‑party content and do not warrant or assume liability for materials, goods, or services offered there. Transactions with third parties are solely between you and the third party. Direct any complaints or questions about third‑party products to that provider.

14. User Content; Feedback; Submissions

From time to time you may submit reviews, social media tags, images, contest entries, suggestions, ideas, proposals, or other materials (collectively, "User Content"). Unless we agree otherwise in writing, you grant The Miriad a non‑exclusive, worldwide, royalty‑free, transferable, sublicensable license to use, reproduce, publish, display, edit, adapt, translate, create derivative works from, distribute, and otherwise exploit such User Content in any media now known or later developed, for marketing, promotional, and operational purposes.

We are not obligated to (1) keep User Content confidential, (2) compensate you, or (3) respond. We may monitor, edit, or remove User Content that we consider unlawful, infringing, abusive, fraudulent, obscene, or otherwise objectionable, or that violates these Terms.

You represent that your User Content does not infringe any third‑party rights (including copyright, trademark, privacy, or publicity rights), is accurate to the best of your knowledge, and does not contain harmful code. Do not impersonate another person or misrepresent origin.

15. Personal Information & Privacy

Your submission of personal information through the Services is governed by our Privacy Policy (incorporated by reference). Please review it to understand how we collect, use, share, and safeguard your data, and what choices you have.

16. Errors, Inaccuracies & Omissions

Information on the Site may occasionally contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct, update, or withdraw information, or to cancel orders if information in the Service or any related site is inaccurate, at any time without prior notice (including after you submit an order). Except where required by law, we undertake no obligation to update information.

17. Prohibited Uses (Summary)

In addition to other restrictions in these Terms, you agree you will not use the Site or its content to:

(a) engage in unlawful conduct;
(b) solicit unlawful acts;
(c) violate international, federal, state/provincial, or local laws or regulations;
(d) infringe intellectual property rights;
(e) harass, abuse, defame, intimidate, or discriminate;
(f) submit false or misleading information;
(g) upload or transmit viruses, malware, or malicious code;
(h) collect or track personal data of others without consent;
(i) spam, phish, pharm, pretext, spider, crawl, or scrape;
(j) post obscene or offensive material;
(k) circumvent or interfere with security features; or
(l) engage in any conduct that, in our judgment, harms other users or The Miriad.

Violation may result in termination under Section 22.

18. Intellectual Property

All content on the Services—including text, graphics, logos, product photography, video, design elements, selections, and arrangement—is owned by or licensed to The Miriad and is protected by copyright, trademark, trade dress, and other laws. "The Miriad" and all related marks are trademarks or service marks of The Miriad [UPDATE: include any registered marks or applications]. Other trademarks appearing on the Site are the property of their respective owners.

Except as expressly allowed (e.g., standard web browsing or sharing links via built‑in social tools), you may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Site content without prior written permission.

19. Disclaimer of Warranties

THE SERVICES, SITE CONTENT, AND ALL PRODUCTS (EXCEPT AS OTHERWISE EXPRESSLY STATED IN WRITING) ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WITHOUT LIMITING THE FOREGOING, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE IS AT YOUR SOLE RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so the above may not fully apply to you. Where required by law, implied warranties are limited in duration to the minimum period permitted.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE MIRIAD OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES), WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE MIRIAD FOR THE PRODUCT(S) AT ISSUE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $100. [UPDATE IF DIFFERENT / HIGHER CAP REQUIRED BY LAW].

Because certain jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability will be limited to the maximum extent permitted by law.

21. Indemnification

You agree to defend, indemnify, and hold harmless The Miriad LLC and its affiliates, officers, directors, agents, contractors, service providers, suppliers, and employees from and against any claims, demands, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms or of any policy incorporated by reference; (b) your violation of any law or third‑party right; or (c) your User Content.

22. Termination; Suspension

The obligations and liabilities of the parties incurred prior to the effective date of termination will survive termination.

You may stop using the Services at any time. If you wish to close an account, contact us at info@themiriad.com.

We may suspend or terminate your access (in whole or part) immediately and without notice if we believe you have violated these Terms, engaged in fraud or abuse, or if required by law. You remain responsible for all amounts due up to and including the date of termination. We may deny future access to the Services.

23. Severability

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted, and the unenforceable portion will be deemed severed. The remainder of the Terms remain valid and enforceable.

24. Entire Agreement; No Waiver; Interpretation

These Terms, together with any policies or operating rules posted on the Site or otherwise referenced (including Return, Shipping, and Privacy Policies), constitute the entire agreement between you and The Miriad regarding the Services and supersede all prior or contemporaneous communications and agreements.

Our failure to enforce any right or provision does not constitute a waiver of that right or provision. Any ambiguities will not be construed against the drafting party.

25. Governing Law & Venue

Unless a different mandatory law applies (for example, because you reside in the EU/UK and consumer protection laws there require otherwise), these Terms and any disputes arising from or relating to them or the Services will be governed by and construed in accordance with the laws of Oregon, USA, without regard to conflict‑of‑laws principles. The exclusive venue for any action not subject to arbitration (if applicable) will be the state or federal courts located in Lane County, Oregon, and you consent to the personal jurisdiction of those courts.

Arbitration Clause. If you reside in the United States, you agree that any disputes or claims arising out of or relating in any way to your use of the Services, these Terms, or the relationship between you and The Miriad LLC shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. Arbitration shall take place in Oregon, and be administered by a recognized arbitration body under its applicable rules. You and The Miriad LLC waive the right to a jury trial and to participate in class actions. This agreement to arbitrate does not apply to claims that cannot be subject to arbitration as a matter of law.

26. Consumer Rights Notices (Selected Jurisdictions)

California Residents (CA Civil Code §1789.3). If you have a complaint regarding the Services or wish to receive further information regarding use of the Services, please contact us at info@themiriad.com. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, or (800) 952‑5210.

EU/EEA & UK Residents. If you are a consumer habitually resident in the EU/EEA or UK, you may have statutory rights that cannot be waived by contract, including the right to withdraw from certain distance sales within 14 days. Where such rights apply, our policies will be interpreted to provide you with the minimum protections required by law. See our Return Policy for instructions or contact us.

27. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top and post the updated Terms on this page. In certain cases (for example, material changes or as required by law) we may provide additional notice such as email or an in‑site banner. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
